LLC to Corporation Conversion

Converting an LLC to a corporation is allowed

but the method depends on the state where your LLC is registered. There are two ways this conversion happens:

Method 1: Statutory Conversion

A statutory conversion allows your LLC to convert directly into a corporation under state law.

Example:

If your LLC has existed for 3 years, the state will still show the business as being 3 years old after conversion

(When Available)

  • Not all states allow statutory conversion
  • When allowed:
    • You do not lose your business age with the Secretary of State
    • The business continues under the same state record
    • You will receive a new EIN (required by the IRS)
    • The new EIN does NOT reset your business start date

Includes:

How it works:

Method 2: Merger Conversion

  1. A new corporation is formed
  2. The LLC is merged into the corporation
  3. The corporation becomes the surviving legal entity
  4. Assets, contracts, operations, and business activities are transferred appropriately
  5. In most cases, the corporation will reflect a new formation date with the Secretary of State, even though business operations may have existed prior

This method is fully legal and compliant when structured and executed correctly.

In states that do not allow statutory conversion, an LLC may convert to a corporation through a merger.

How Do I Know Which Method My State Allows?

  • If their state allows statutory conversion, they will proceed with that option
  • If their state does not allow it, they will select the Merger Conversion service

If you don’t see your state listed under statutory conversion, you will select the LLC to Corporation (Merger) option.
